Founder Pricing Addendum
This addendum protects the locked-for-life price you signed up for. Read it carefully — it tells you exactly what keeps your founder rate, what forfeits it, and what we will and will not change without your explicit written consent.
Preamble
This Founder Pricing Addendum ("Addendum") is incorporated by reference into the Charcom Terms of Service for Subscribers who qualify as Founder Members. In the event of any conflict between this Addendum and the Terms of Service regarding pricing, this Addendum controls for Founder Members.
1. Eligibility
A Founder Member is a Subscriber who:
- (a) is among the first five hundred (500) paying Subscribers to complete checkout on the Founder plan during the founder enrollment period, AND
- (b) whose first payment successfully clears (no chargeback, no payment reversal, no failed authorization).
Founder status is confirmed in Charcom's system by the founder_member flag on the subscription record and the assignment of a unique founder_number between 1 and 500. Founder status cannot be granted retroactively, transferred, gifted, sold, or assigned.
2. Founder Pricing Defined
Founder Pricing is CAD $29.99 per month, locked at this rate, "for as long as the Subscriber actively needs and uses the Service" — meaning the $29.99/mo rate remains in effect continuously so long as the Subscriber maintains an active, paid, in-good-standing subscription on the Founder plan, without interruption, subject to the grace period in Section 4 below.
3. What Maintains Founder Pricing
Founder Pricing remains in effect as long as all of the following are true:
- (a) Continuous active subscription with no cancellation event;
- (b) No payment lapse exceeding the grace period defined in Section 4;
- (c) Account remains in good standing under the Terms of Service and the Acceptable Use Policy;
- (d) Subscription remains on the Founder plan tier (à la carte add-ons may be added per Section 6 without affecting Founder base pricing).
4. Grace Period for Failed Payments
If a payment fails, Charcom will retry charges per Stripe's standard dunning schedule. The Subscriber has a grace period of fourteen (14) calendar days from the original failed-charge date to cure the payment failure (e.g., update card on file, complete the retried charge, or pay manually) without losing Founder status. After 14 calendar days of unresolved non-payment, the subscription cancels and Founder status is forfeited.
5. What Forfeits Founder Pricing
Founder Pricing is forfeited if any of the following occur:
- (a) Voluntary cancellation by the Subscriber via the dashboard or via Stripe Customer Portal;
- (b) Payment lapse exceeding the 14-day grace period in Section 4 resulting in cancellation;
- (c) Account termination for material violation of the Terms of Service or the Acceptable Use Policy, following written notice and a 7-day cure period for curable breaches (no cure period is required for illegal content, fraud, chargebacks, or threats to the security of the Service or other Subscribers);
- (d) Voluntary downgrade to a lower-priced tier (none currently exists below Founder; this provision is reserved);
- (e) The Subscriber's express written request to relinquish Founder status.
6. Plan Add-Ons
Founder Members may purchase à la carte add-ons (custom-domain hosting, IDX/MLS feed integration, premium themes, additional storage, AI assistants, etc.) at then-current standard prices without losing Founder base pricing. Add-ons are billed in addition to the locked $29.99 monthly base.
7. Voluntary Upgrades
A Founder Member who upgrades to a higher tier (Starter, Pro, Premium, etc.) without explicit acknowledgment of forfeiture retains the Founder Pricing baseline and the upgrade is billed as an add-on on top of the $29.99 base.
To fully migrate from the Founder plan to a higher tier and forfeit Founder status, the Subscriber must explicitly confirm forfeiture in writing via a dashboard confirmation flow that records the acknowledgment in the LegalAcceptance audit log. Charcom will not silently migrate Founder Members off Founder Pricing.
8. Reactivation
A Founder Member whose subscription is canceled or lapses past the grace period may rejoin Charcom at then-current standard pricing but does not automatically regain Founder status. Charcom may, at its sole discretion, offer a one-time courtesy reinstatement of Founder status within 30 days of lapse upon payment of all missed amounts. Such reinstatement is a courtesy, not a right.
9. Transferability
Founder Pricing is tied to the original Subscriber account and is strictly non-transferable. If the Subscriber sells their real-estate practice, retires, changes brokerages, or otherwise transitions, the original account may continue under that Subscriber's name and license OR be canceled. New owners or successor agents must open a new account at then-current standard pricing. Founder status does not transfer with a business sale unless Charcom consents in writing in its sole discretion.
10. Service Sunset Protection
If Charcom discontinues the Service entirely (a full sunset, not a partial change of features), Founder Members will receive:
- (a) a minimum of ninety (90) days' advance written notice;
- (b) full data-export tools throughout the wind-down period;
- (c) a pro-rata refund of any prepaid amounts;
- (d) reasonable assistance migrating to a comparable service where commercially feasible.
Charcom shall not selectively terminate Founder Members while continuing to offer the Service to other paying tiers. Any sunset must apply to all Subscribers equitably.
11. Feature Parity
Founder Members receive all features included in the Founder plan as defined at signup. Charcom may add new features over time and may reasonably reserve premium add-ons for higher tiers. Charcom will not strip materially advertised Founder-included features without offering an equivalent functional replacement or, at Charcom's option, a pro-rata account credit.
12. Modification of Founder Terms
This Addendum may be modified ONLY:
- (a) with the Founder Member's express written consent obtained via a dashboard acceptance flow that records the acknowledgment in the LegalAcceptance audit log; OR
- (b) upon 90 days' written notice for changes legally required by regulation, payment-processor rules, court order, or to address documented security or fraud concerns.
PRICE INCREASES TO THE $29.99 BASE RATE FOR FOUNDER MEMBERS REQUIRE EXPRESS WRITTEN CONSENT FROM THE FOUNDER MEMBER AND ARE OTHERWISE PROHIBITED.
13. Required Acknowledgment at Checkout
Signup checkout MUST display a non-pre-checked checkbox containing the following exact text:
"I understand that Charcom Founder Pricing of $29.99 CAD/month remains locked at this rate as long as my account remains active, paid in full, and in good standing under the Terms of Service. I have read the Founder Pricing Addendum and accept its terms, including the conditions under which Founder status may be forfeited."
Acceptance is recorded in the LegalAcceptance audit log together with the Founder Pricing Addendum's then-current document version hash, the Subscriber's IP address, the user-agent string, and the timestamp.
14. Survival
This Addendum survives any general modification of the Terms of Service unless specifically modified in accordance with Section 12 above.
